These Terms & Conditions (“Terms”) govern your use of njenix.com (the “Site”) and describe the general terms that apply to working with njenix (“njenix,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
Our services
njenix provides consulting and related services to nonprofit and mission-driven organizations, including fundraising and revenue development, governance and organizational support, websites and digital experience, and systems, data, and technology. The Site is primarily informational. Any engagement for services is governed by a separate written proposal, statement of work, or agreement (“Engagement Agreement”). Where an Engagement Agreement conflicts with these Terms, the Engagement Agreement controls for that engagement.
Use of this website
You agree to use the Site only for lawful purposes and not to: (a) use it in any way that violates applicable law; (b) attempt to gain unauthorized access to the Site or its systems; (c) interfere with or disrupt the Site; or (d) copy, scrape, or reproduce Site content except as permitted below.
Engagements, fees, and payment
The specific scope, deliverables, timeline, and fees for any project are set out in the applicable Engagement Agreement. Unless otherwise stated there, invoices are due as specified in that agreement. Estimates are not guarantees, and work outside the agreed scope may be subject to additional fees.
Client responsibilities
Successful engagements depend on your cooperation. You agree to provide accurate information, timely feedback and approvals, reasonable access to relevant people and systems, and any materials or credentials needed to perform the work. Delays in these may affect timelines and cost.
Intellectual property
All content on the Site — including text, graphics, logos, and the njenix name and marks — is owned by njenix or its licensors and is protected by applicable laws. You may not use it without our prior written permission.
For client engagements, ownership of final deliverables created specifically for you transfers to you upon full payment, except that njenix retains ownership of its pre-existing materials, templates, tools, methodologies, and general know-how, and may continue to use the skills, techniques, and general knowledge gained during the work.
Confidentiality
Each party agrees to protect the other’s confidential information and to use it only as needed to perform or receive the services, except where disclosure is required by law.
Third-party services
We may recommend, integrate with, or rely on third-party platforms and services (for example, CRMs, hosting, payment processors, and analytics tools). Your use of those services is governed by their own terms, and njenix is not responsible for third-party products, services, or content.
Disclaimers
The Site and our services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. While we bring real experience and care to every engagement, we do not guarantee specific outcomes — including, for example, particular fundraising results, revenue, or rankings — as these depend on many factors outside our control.
Limitation of liability
To the fullest extent permitted by law, njenix will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability arising out of or relating to the Site or an engagement will not exceed the amounts you paid to njenix for the services giving rise to the claim.
Indemnification
You agree to indemnify and hold njenix harmless from claims, damages, and expenses arising out of your misuse of the Site, your violation of these Terms, or the materials and information you provide to us.
Term and termination
We may suspend or terminate access to the Site at any time. The terms governing the start and end of a paid engagement are set out in the applicable Engagement Agreement.
Governing law
These Terms are governed by the laws of the United States and the state of [State], without regard to conflict-of-laws principles. Any disputes will be resolved in the courts located in [County/State].
Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
